1. About these terms

These Terms of Service govern your use of Capped (capped.my), a platform that connects cricket players with clubs recruiting for the season. Capped is operated by S Belston & C.Z Taylor, a partnership trading as Peak Performance Sports Management (ABN 59 550 628 299), based in Queensland, Australia (Capped, we, us).

By creating an account or using Capped, you agree to these terms and to our Privacy Policy. If you sign up on behalf of a club, you confirm that you are authorised to bind the club, and "you" includes the club.

2. Who can use Capped

  • You must be at least 16 years old.
  • If you are 16 or 17, a parent or legal guardian must consent to you using Capped and agree to these terms on your behalf. We may ask for proof of age and consent, and may suspend your account until we receive it.
  • You must not use Capped if we have previously banned you, or if the law where you live prohibits it.
  • Each person may have only one account. Each user can belong to only one club at a time.

3. Your account

You sign in with a one-time code sent to your email address. Keep access to your email secure and never share a sign-in code, including with anyone claiming to be from Capped. You are responsible for activity on your account. Tell us straight away at support@capped.my if you think someone else has accessed it.

Keep your account and profile information accurate and up to date.

Club roles. A club has an owner, and can have administrators, recruiters and members.

| Role | What they can do | | --------- | ----------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------------- | | Owner | Manage all club records, members, recruitment, billing, contracts and deals; read and reply in every club conversation; see success fees; delete the club | | Admin | Everything an owner can do, except delete the club or remove the last owner | | Recruiter | Find players, review candidates, start conversations, and read and reply in every club conversation. Cannot shortlist or decline applicants, manage members or billing, or create or sign deals | | Member | Read the club's profile, teams, members and openings. No access to player search, conversations or deals |

The club is responsible for everything its owners, administrators and recruiters do on Capped, including deals they make and fees they incur.

4. Our role

Capped is a platform that introduces players and clubs and gives them tools to agree a deal. We are not a party to any deal or contract between a player and a club. We are not a recruitment agent, an employer, a migration agent or a legal adviser.

  • We do not guarantee that a player will find a club or that a club will fill an opening.
  • We do not check every profile, club or opening. A "verified" badge means one of our administrators has reviewed the identity or evidence provided. It does not guarantee a player's ability, character or eligibility.
  • Players and clubs are responsible for their own checks, including references, playing records, safeguarding checks, and visa and work rights. Get your own advice on visas, tax and contract terms.

5. Recruitment, deals and contracts

A placement on Capped follows these steps:

  1. A club creates an opening, and a player applies or the club shortlists a player.
  2. The club and player talk in a conversation.
  3. Either party proposes a deal, with a contract value in Australian dollars, a role and a duration.
  4. The club adds the contract, either as a PDF or as written terms.
  5. Both parties read and sign the contract in Capped. When they sign, each party also accepts the success fee shown. The second signature makes the deal active.
  6. When the deal has been fulfilled, one party marks it complete and the other confirms. If the other party doesn't respond or report a problem within 7 days, the deal is confirmed automatically.
  7. Each party pays a success fee (section 7). Seven days after completion, each party can leave one review.

The contract is between the player and the club. The club is responsible for the contract's contents and its compliance with the law. Read the whole contract before signing. Signing in Capped records that both parties agree to the contract. It is not a formal electronic signature, so if you need a legally binding signed contract, sign it separately as well. Signing in Capped is not a substitute for independent legal advice. Only the two deal parties can see a PDF contract.

Contract value. Enter the real total value of the deal, because the success fee is calculated from it. Entering a false or understated value is a breach of these terms.

Players aged 16 or 17. A parent or guardian must approve any deal and co-sign the contract before the deal is active.

Corrections. While a deal is proposed or active, the club can correct the contract. A correction resets both signatures, and both parties must sign again.

Problems with completion. If you disagree that a deal is complete, select Report a problem before the 7-day automatic confirmation and give a reason. This pauses completion, and no success fee is charged while our administrators review the deal. We may help resolve disputes about the Capped process, but we don't decide disputes about the contract itself.

6. Conversations and reviews

Use recruitment conversations only for recruitment. A club's owners, administrators and recruiters can all read and reply in the club's conversations. Our administrators and moderators can join a conversation to read it for support, safety and moderation, but cannot post in it. We may also message you directly as the Capped team. You can report a message, and we will review reports.

Each party can leave one review of a completed deal, from seven days after completion. A review stays private until both parties have submitted, or until 30 days after the review period opens. Then both reviews are published. Reviews must be honest, fair and based on your own experience. Don't include private contract, health or payment details. We may remove a review that breaks these terms, but we don't edit reviews.

7. Fees and payment

Capped charges an annual subscription to use its recruitment features, and a success fee when a deal completes. Stripe processes all payments. All amounts are in Australian dollars.

| Fee | Who pays | Amount | When | | ------------------- | ---------------------------------------------------------- | --------------------------------------------------- | ------------------------------ | | Player subscription | The player | AUD 179.99 per year, plus any tax shown at checkout | Yearly, renewing automatically | | Club subscription | The club (one plan covers everyone in the club) | AUD 349.99 per year, plus any tax shown at checkout | Yearly, renewing automatically | | Success fee | Each party: the player and the club are charged separately | AUD 100 + 3% of the contract value, including GST | When a deal completes |

We may change prices on at least 30 days' notice. A change applies from your next renewal, and the current price is always shown at checkout. If you don't accept a new price, you can cancel before your renewal.

What a subscription gives you. A player plan lets you see full openings, apply, start conversations and propose or sign deals. A club plan lets the club publish openings, search players and see full profiles, message and shortlist players, and offer and sign deals. Profiles and account settings don't need a plan. We may also give gifted access at our discretion. If your plan ends, you can still finish a deal that is already active.

Automatic renewal. Subscriptions renew automatically each year and are charged to your saved payment method until you cancel. You can cancel at any time through Manage billing in Settings (players) or Club Settings → Plan & billing (club owners and administrators). Your access continues until the end of the year you have paid for. If a renewal payment fails, you have a 14-day grace period to update your payment method. During that period your existing deals continue, but you can't start or sign a new deal. After the grace period, paid features stop until you pay.

Success fee. By signing a contract on Capped, you agree to pay the success fee shown to you when you sign. The fee includes GST. When the deal completes, including when completion is confirmed automatically after 7 days, we issue you a Stripe invoice:

  • If you have a saved card, you authorise us to charge it straight away.
  • If you don't, Stripe emails you the invoice, and you must pay it by card within 14 days.

The player pays the player fee personally. The club fee is billed to the club. For example, on a AUD 12,000 contract the player pays AUD 460 and the club pays AUD 460, and each fee includes AUD 41.82 GST. We may waive the success fee for an opening. Once we have shown you a fee, we won't increase it.

Failed and late payments. If your saved card is declined, we will tell you and try it again 1, 3 and 7 days after the invoice was issued. You can pay the invoice by card at any time. An unpaid fee is a debt you owe us, and it is overdue after its due date. A failed or late payment does not cancel a completed deal. We may restrict your account, or take other reasonable steps to recover the fee, until it is paid.

Refunds. Except where the law requires otherwise, fees are not refundable, including for unused parts of a subscription period. We may give a refund or credit at our discretion. Nothing in this section limits your rights under the Australian Consumer Law or UK consumer law (section 12).

Deals made outside Capped. If a player and club are introduced through Capped, they must not avoid the success fee by agreeing a deal outside the platform. An introduction includes an application, a shortlist, a recommendation or a conversation. This applies for 12 months after the introduction. If they agree a deal outside Capped in that time, each party must pay the success fee as if the deal had been made on Capped.

8. Your content and ours

You keep ownership of what you upload or write on Capped, including profile details, photos, CVs, videos, messages, contracts and reviews. You give us a worldwide, non-exclusive, royalty-free licence to host, store, display and share that content as needed to run Capped. This includes showing your profile to clubs or players and displaying reviews. The licence ends when your content is deleted, except for copies we must keep under our Privacy Policy, and reviews you have given.

You confirm that your content is accurate, that you have the right to share it, and that it doesn't infringe anyone else's rights.

Our content. Capped's website, app, software, name and logo belong to us or our licensors. We give you a personal, non-transferable right to use Capped for its intended purpose while you follow these terms. Don't copy, modify or resell any part of Capped, or use our name or logo, without our written permission. If you send us feedback or ideas, we can use them without paying you.

9. Acceptable use

You must not:

  • give false or misleading information, including about your playing record, nationality, passports, visa status or a contract value;
  • impersonate anyone, or create an account for someone else without their authority;
  • harass, threaten, discriminate against or exploit anyone, or behave inappropriately towards a player under 18;
  • post unlawful, offensive or sexual content, spam or advertising;
  • use Capped to recruit for anything other than genuine cricket opportunities;
  • copy, scrape or collect other users' information, or contact users outside Capped for purposes unrelated to recruitment;
  • avoid fees, including by moving a deal off the platform (section 7);
  • interfere with the security or operation of Capped, or access accounts or data you are not authorised to access.

10. Moderation, suspension and termination

We may review content and accounts, remove content, or warn, suspend or ban an account if we reasonably believe you have broken these terms or the law, or put others at risk. Where it is appropriate and safe, we will tell you why.

You can close your account at any time by contacting support@capped.my. Closing your account does not cancel fees that are already owed, or your obligations under a contract you signed. Sections 7, 8, 12, 13 and 15 continue to apply after your account closes.

11. Availability of Capped

We work to keep Capped running, but we don't promise it will always be available, error-free or secure. We may change, suspend or discontinue features. If we close Capped entirely, we will give you reasonable notice and a pro-rata refund of any prepaid subscription period.

Capped relies on third parties such as Stripe, our email provider and YouTube. We are not responsible for their services.

12. Consumer rights

If you are a consumer, you have rights that these terms cannot exclude. This includes guarantees under the Australian Consumer Law, and in the UK, rights under the Consumer Rights Act 2015. Nothing in these terms limits those rights. Where the law allows us to limit our liability for failing to meet a guarantee, our liability is limited to supplying the service again or paying the cost of having it supplied again.

13. Liability

To the extent the law allows:

  • we are not liable for anything a player or club does or fails to do, including under a contract between them, or for the outcome of any recruitment;
  • we are not liable for indirect or consequential loss, or for loss of profits, opportunity or data;
  • our total liability to you is limited to the greater of the fees you paid us in the 12 months before the claim and AUD 500.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law.

If you use Capped for business purposes, you indemnify us against claims by third parties that arise from your breach of these terms or your content. This includes clubs.

14. Changes to these terms

We may update these terms. We will post the new version at capped.my/tos with a new effective date. If a change materially affects you, we will give you at least 30 days' notice by email or in the app. If you don't agree, you can cancel before the change takes effect. Continuing to use Capped after that date means you accept the new terms.

We may transfer these terms to a company that takes over Capped, including when we incorporate. We will tell you if this happens.

15. Disputes and governing law

If you have a dispute with us, contact support@capped.my first, and we will try to resolve it within 30 days. These terms are governed by the laws of Queensland, Australia, and you and we submit to the courts of Queensland. If you are a consumer living in the UK or another country, you also keep the protection of your local mandatory laws and can bring a claim in your local courts.

16. General

If any part of these terms is unenforceable, the rest still applies. If we don't enforce a right straight away, we haven't waived it. These terms and the Privacy Policy are the entire agreement between you and us about Capped. They do not cover your contract with a player or club. You agree that we can give you notices electronically, by email to your account address or in the app. We are not liable for delays or failures caused by events outside our reasonable control, such as an outage at one of our providers.
